1. Acceptance of Terms
By installing, accessing, or using the SmartBill Invoice App ("App") from the Shopify App Store, you ("Merchant", "you") agree to be bound by these Terms of Service ("Terms"). If you do not agree, do not install or use the App.
These Terms are in addition to Shopify's Terms of Service and Partner Program Agreement, which also apply to your use of apps from the Shopify App Store.
2. Description of Service
The App provides integration between your Shopify store and SmartBill ERP (smartbill.ro) for: invoice generation (automatic and manual), EU VAT compliance (OSS, HOME, reverse charge, export), stock synchronization between SmartBill and Shopify, multi-warehouse invoicing, automatic payment registration, and AI-powered chat support.
3. Requirements
To use the App, you must have an active Shopify store with a valid subscription, an active SmartBill Cloud account with API access enabled, valid SmartBill API credentials (email and API token), and the necessary permissions in your SmartBill account to create invoices, manage stock, and access the API.
4. Subscription Plans and Billing
The App offers multiple subscription tiers (Starter, Basic, Professional, Enterprise) with different feature sets and invoice limits. Plan details and pricing are displayed in the App and on the Shopify App Store listing.
All charges are processed through Shopify's Billing API. You will be billed through your Shopify account according to the plan you select. We do not collect payment information directly.
You may upgrade or downgrade your plan at any time through the App. Changes take effect immediately. Downgrades may result in loss of access to features not included in the lower plan.
Refunds are handled in accordance with Shopify's refund policies for app subscriptions.
5. Your Responsibilities
You are responsible for ensuring your SmartBill settings (VAT code, series, tax rates, warehouse names) are correctly configured. The App generates invoices based on your configuration.
You must maintain an active SmartBill account with sufficient permissions and valid subscription.
You are responsible for ensuring the correct VAT regime (HOME/OSS) is selected for your business. The App facilitates compliance but does not provide tax advice.
You must ensure order data in Shopify is accurate before invoice generation, and keep your SmartBill API credentials secure.
6. Limitations and Disclaimers
The App is a technical tool for invoice generation and stock management. It does not provide tax, legal, or accounting advice. You should consult a qualified accountant or tax advisor for guidance on VAT compliance.
The App depends on SmartBill's API availability. We are not responsible for SmartBill API downtime, changes to their API, errors in their tax calculations, or account restrictions.
The App operates within Shopify's platform. We are not responsible for Shopify platform outages, API changes, or data discrepancies caused by Shopify's systems.
The AI chat assistant is provided for convenience and general guidance. AI responses may contain errors. You should verify any configuration changes before applying them.
7. Intellectual Property
The App, including its code, design, documentation, and branding, is the intellectual property of CECO DIGITAL SOLUTIONS S.R.L. Your subscription grants you a non-exclusive, non-transferable license to use the App for its intended purpose.
You may not reverse engineer, decompile, copy, modify, distribute, resell, or sublicense the App or its code.
8. Data Handling
Our handling of your data is governed by our Privacy Policy. By using the App, you acknowledge and agree to our data practices as described in the Privacy Policy.
9. Service Level
We strive to maintain high availability but do not guarantee specific uptime percentages. We will make reasonable efforts to ensure the App is available 24/7, notify you of planned maintenance when possible, respond to critical issues within 24 hours on business days, and provide support via the in-app chat and email.
10. Termination
You may uninstall the App at any time through your Shopify admin. Upon uninstallation, your subscription will be cancelled, all your data will be permanently deleted within 48 hours, and generated invoices in SmartBill will remain in your SmartBill account.
We reserve the right to suspend or terminate your access if you violate these Terms, your use poses a security risk, your Shopify or SmartBill account is suspended, or as required by law.
11. Limitation of Liability
To the maximum extent permitted by law, the App is provided "as is" without warranties of any kind. We are not liable for indirect, incidental, consequential, or punitive damages. Our total liability shall not exceed the amount you paid for the App in the 12 months preceding the claim.
12. Governing Law
These Terms are governed by the laws of Romania. Any disputes shall be resolved in the courts of Cluj-Napoca, Romania, unless otherwise required by applicable consumer protection laws.
13. Changes to Terms
We may update these Terms from time to time. We will notify you of material changes through the App or via email. Continued use after changes constitutes acceptance.
